Shipping, Delivery, and Deadlines
1. Delivery Countries
The products are available for delivery in France and all countries within the European Union. Any request for shipping outside this zone will be subject to a preliminary study.
2. Risks and Transport
Unless otherwise agreed between the Parties, the transfer of risk for loss or damage to the Products occurs at the time they are handed over to the carrier, including when the transport is organized by SPARWAN on behalf of the Customer.
Upon delivery, it is the Customer's responsibility to check the apparent condition of the parcel. In the event of a damaged, opened, repackaged parcel, or one showing any apparent anomaly, the Customer must refuse delivery or, failing that, formulate precise, complete, and detailed reservations on the delivery note.
The Customer must also immediately verify the content of the parcel upon receipt, in order to ensure the conformity of the delivered Products with the preparation slip. In the event of a damaged, missing, or non-conforming Product, the Customer must inform SPARWAN as soon as possible.
In order to safeguard any potential recourse against the carrier, the Customer must confirm their objections and reservations to the carrier by registered letter with acknowledgment of receipt within three days of receipt of the Products, in accordance with Article L.133-3 of the French Commercial Code.
3. Delivery Deadlines
The Products ordered by the Customer are delivered to the address indicated by the Customer during the order process.
The shipping time corresponds to the period between the validation of the order by SPARWAN and the handing over of the ordered Products to the carrier. This timeframe may vary depending on the availability of the Products, supply lead times from Suppliers, as well as the Customer's fulfillment of their obligations towards SPARWAN.
The shipping of Products within the stated timelines can only be guaranteed if the Customer is up to date with all their obligations towards SPARWAN, particularly their payment obligations and the communication of information necessary for processing the order.
The delivery time corresponds to the period between the shipment of the order by SPARWAN and the actual delivery of the Products to the Customer. Delivery times therefore begin to run from the date the order is shipped by SPARWAN.
The applicable delivery deadlines are those indicated upon validation of the order, depending on the delivery option chosen by the Customer.
The shipping, delivery, and/or service execution deadlines, as well as information regarding Product availability, are provided for informational purposes only. SPARWAN strives to respect the stated deadlines, subject to availability from its Suppliers and constraints specific to its Carriers.
The Customer undertakes to take all necessary measures to enable SPARWAN to meet these deadlines. In particular, they agree to respond as quickly as possible to any request for information made by SPARWAN. In the event that the execution of the order or services is delayed, prevented, or extended due to the Customer, the Customer must bear any additional costs incurred by SPARWAN, including travel, storage, handling, or labor costs.
4. Delivery Obligation
SPARWAN cannot be held liable for a delay or failure in delivery when it results from a case of force majeure or any event beyond its control that prevents or delays the execution of its obligations.
The following are notably considered as such, without this list being exhaustive: situations of war, mobilization, total or partial strikes, lockouts, requisitions, shortages of raw materials or components, failure of a supplier or subcontractor, fire, equipment breakdown, transportation interruption or delay, as well as any event affecting the activity of SPARWAN, its Suppliers, its subcontractors, or its Carriers.
SPARWAN will also be released from any commitment relating to delivery and/or service execution deadlines in the following cases:
non-compliance by the Customer with their payment obligations;
late, incomplete, or erroneous transmission of information necessary for the execution of the order;
failure to complete, within the required timeframes, the preparatory work incumbent upon the Customer;
non-compliance by the Customer with the installation, commissioning, or operating conditions falling under their responsibility;
modification, at the request or due to the Customer, of the quantities, characteristics, or conditions of execution of the ordered Products and/or Services.
In these scenarios, the deadlines initially indicated may be suspended or extended, without the Customer being entitled to claim any indemnity, penalty, or order cancellation solely for this reason.
5. Special Case
In the special case of direct delivery of Products by SPARWAN to the final customer in the name and on behalf of the Customer ("Dropshipment"), the purchase order drawn up by the Customer must specify the contact details of the final customer. SPARWAN cannot be held liable for the non-conformity of the Product delivery with the order placed by the final customer, provided that this delivery complies with the order placed by the Customer with SPARWAN.
